We sell to businesses only. Every order starts with an enquiry and a written quotation. Orders are confirmed by a proforma invoice and paid in full by bank transfer before dispatch. Delivery to UK mainland addresses is quoted per order. Check goods on arrival and tell us about any damage or shortage within 48 hours.
1. About these terms
These terms apply to every quotation we issue and every order we accept for the supply of goods by [REGISTERED COMPANY NAME] Ltd, trading as YRWHOLESALE (“we”, “us”, “our”), to a business customer (“you”). Our contact details are in section 16.
They are the only terms on which we trade. Any terms you send with an order, or which are implied by trade custom or course of dealing, do not apply unless we have agreed to them in writing. We may agree different terms for a specific order; if we do, the written agreement takes priority over these terms for that order only.
Placing an order, paying a proforma invoice or accepting delivery of goods is acceptance of these terms.
2. Business customers only
We supply goods for resale or business use only. By enquiring or ordering you confirm that you are acting in the course of a business and not as a consumer. Consumer protection legislation, including the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, does not apply to our contracts.
We may ask for evidence that you are a trading business — for example a business name and trading address, a company registration number or a VAT number — before we quote or accept an order, and we may decline to trade at our discretion.
3. Information on this website
The categories and products shown on this website are illustrative examples of the kind of goods we source. They are not an offer to sell, and they are not a live stock list or price list. Availability, pack sizes, specifications and prices are confirmed only in a written quotation.
Branded products are shown to illustrate range examples. All trade marks belong to their respective owners. Showing a product does not imply that we are an authorised distributor of, or otherwise affiliated with, its manufacturer or brand owner unless we tell you so in writing.
Images are for illustration. Packaging, colours and designs may vary from those shown.
4. Enquiries and quotations
Send us an enquiry using the form on the contact page or by email, telling us the products, quantities and delivery location you have in mind. We will reply by email with a written quotation where we can meet the requirement.
A quotation is valid for the period stated on it or, if none is stated, for 14 days from the date it is sent. It is subject to the goods still being available when you order. We may withdraw or revise a quotation at any time before we accept your order.
Prices are quoted in pounds sterling. Delivery charges are shown separately on the quotation (see section 8). We are not currently registered for VAT, so no VAT is added to our prices; if this changes we will tell you and quotations issued after that date will show VAT separately.
5. Orders and contract formation
To order, accept the quotation by email. Your acceptance is an offer to buy the goods on these terms.
A contract is formed only when we issue a proforma invoice or order confirmation for the goods. We may decline an order for any reason, including availability, and we will tell you if we do. If we have already received payment for a declined order we will refund it in full.
Please check the proforma invoice carefully. Tell us straight away if anything is wrong; we are not responsible for errors in an order you have confirmed.
6. Minimum quantities
Goods are supplied in the case, pack or minimum quantities stated on the quotation. We may set a minimum order value or quantity for a product, an order or a delivery, and will say so on the quotation.
7. Payment
Unless we have agreed otherwise in writing, payment is due in full, in cleared funds, before dispatch. Pay by bank transfer to the account shown on the proforma invoice, quoting the invoice number as the payment reference.
Goods are not reserved or dispatched until your payment has cleared. If payment is not received within the period stated on the proforma invoice (or, if none is stated, within 7 days) we may treat the order as cancelled and release the stock.
Our bank details are only ever provided on our invoices sent from our own email address. If you receive a request to pay a different account, or a message saying our bank details have changed, do not pay — contact us on the details in section 16 to check. We do not accept cash or card payments.
8. Delivery
We deliver to business addresses in mainland Great Britain. Delivery to Northern Ireland, the Scottish Highlands and Islands, the Isle of Man, the Channel Islands and outside the UK may be possible on request and is quoted separately.
The delivery charge and estimated lead time are stated on the quotation. Lead times are estimates and start when your payment has cleared. We will do our best to meet them but time of delivery is not of the essence, and we are not liable for loss caused by a delayed delivery.
Goods are delivered to the ground-floor entrance of the address you give us unless agreed otherwise. Someone must be available to receive, check and sign for the delivery during normal business hours. If a delivery fails because no one is available, or the address is wrong or inaccessible, we may charge for re-delivery or return carriage.
Collection from us may be available by arrangement.
9. Checking your delivery, damage and shortages
Check the goods when they arrive. If the packaging is visibly damaged, note this on the carrier’s paperwork before signing.
Report any damage, shortage or incorrect goods to us by email within 48 hours of delivery, with the invoice number and photographs. Where a claim is valid we will, at our option, replace the goods, supply the missing items or credit or refund the price paid for them. We may ask you to hold the goods for inspection or return them to us at our cost.
We may not be able to accept a claim for damage, shortage or incorrect goods reported later than 48 hours after delivery, because we cannot then pursue it with the carrier.
10. Returns and faulty goods
Because we supply to trade, goods that were correctly supplied cannot be returned for a refund or credit simply because they are no longer required or have not sold. Please check quantities and specifications on the quotation before you order.
If goods are faulty (that is, they are not of satisfactory quality, do not match their description or are not fit for the purpose we agreed), tell us in writing as soon as you become aware and within a reasonable time. We will, at our option, replace the goods, or refund or credit the price paid for the faulty items, once we have had the opportunity to inspect them. Return carriage for goods confirmed as faulty is at our cost.
This section does not affect any statutory rights you have under the Sale of Goods Act 1979 that cannot lawfully be excluded.
11. Ownership and risk
Risk in the goods passes to you when they are delivered to the address you gave us, or when they are collected.
Ownership of the goods passes to you only when we have received full payment for them in cleared funds. Until then you must keep the goods identifiable as ours and in good condition, and we may ask for their return.
12. Product information and your responsibilities
Product descriptions and specifications come from manufacturers and suppliers and are given in good faith. Tell us in writing before ordering if you need goods for a particular purpose or to meet a particular standard.
You are responsible for complying with the laws that apply to how you store, label, market and resell the goods, including any age restrictions, product safety and consumer information requirements that apply to your own customers.
You may not use our name, logo or branding in your own marketing without our written permission.
13. Cancelling an order
You may cancel an order by email at any time before we issue the proforma invoice. After we have accepted your order, cancellation is at our discretion and we may deduct any costs we have already incurred (for example, goods ordered specifically for you) from any refund.
Once goods have been dispatched an order cannot be cancelled, and section 10 applies.
We may cancel an order if the goods become unavailable, if payment is not received in time, or if you breach these terms. We will refund any payment you have made for goods we do not supply.
14. Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited or excluded.
Subject to that, we are not liable to you for any loss of profit, loss of business or sales, loss of goodwill, or any indirect or consequential loss arising from or in connection with an order.
Our total liability for all claims arising from or in connection with an order, whether in contract, tort (including negligence) or otherwise, is limited to the price you paid for that order.
15. Events outside our control
We are not responsible for a delay or failure to perform caused by events outside our reasonable control, including supplier or carrier failure, transport disruption, industrial action, severe weather, epidemic, or the acts of any government or authority. If such an event delays an order significantly, either of us may cancel the affected order and we will refund any payment made for goods not supplied.
16. Contact and complaints
Email us at info@yrwholesale.co.uk for anything to do with a quotation, order or delivery. Please quote the invoice number. We aim to acknowledge every message within two working days.

17. General
If any part of these terms is found to be invalid or unenforceable, the rest continues to apply. A delay in enforcing any right under these terms is not a waiver of it. These terms do not give any rights to anyone other than you and us.
We may update these terms from time to time. The version in force when we issue a proforma invoice is the one that applies to that order. The date at the top of this page shows when they were last changed.
These terms and any contract between us are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
